1. Acceptance of Terms

By accessing or using any platform, product, or service offered by Wyz Global LLC ("Wyz Global," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms apply to all visitors and users who access or use any product or service under the Wyz Global brand, including WyzCore, WyzGuild, WyzPages, WyzQuests, WyzAI, WyzPro, and our eLearning Development Services (collectively, the "Services"). By using our Services, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Definitions

• "Company," "we," "us," "our" refers to Wyz Global LLC, a New Mexico limited liability company, operated in partnership with WyzLab Solutions OPC, Philippines.
• "User," "you," "your" refers to any individual or entity accessing or using our Services.
• "Customer" refers to any user who purchases a product, subscription, or service from Wyz Global.
• "Digital Product" refers to any course, template, download, or other digital content that Wyz Global sells and delivers directly to customers.
• "Subscription Platform" refers to WyzGuild, WyzPages, WyzQuests, and WyzAI, and any paid plan tier of WyzCore, each billed on a recurring (monthly or annual) basis.
• "Services" refers to WyzPro and our eLearning Development Services, including instructional design, eLearning course development, website and app development for education, eBook conversion and digital publishing, chatbot integration, digital consultations, content migration, email marketing, and digital marketing strategy, each delivered under an individual statement of work or service agreement.
• "Platform" refers collectively to all websites, applications, and tools operated under the Wyz Global brand.

3. Our Products & Services

Business Purpose

Wyz Global provides digital education software and services that empower businesses, institutions, and individual educators to create, deliver, and grow engaging online learning experiences. This includes software subscriptions, self-paced and instructor-led online courses, memberships, community tools, digital education consultations, and professional eLearning development services.

Scope limitation: Wyz Global does not engage in investment solicitation or investment-taking activity from public investors, and does not engage in financial technology (Fintech) activities. Nothing on our platforms constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product.

WyzCore

WyzCore is a learning management system (LMS) and course platform. Through WyzCore Flex (free) and WyzCore Pro (paid subscription), educators can create, host, and run their own online courses, memberships, and branded learning sites. Educators using WyzCore connect their own payment tools to charge their own learners directly; Wyz Global charges only the applicable software or subscription fee and does not process or handle those learner transactions. Wyz Global also publishes and offers its own courses and digital learning products directly to customers.

Subscription Platforms — WyzGuild, WyzPages, WyzQuests, WyzAI

WyzGuild (community platform), WyzPages (no-code page builder), WyzQuests (gamified learning), and WyzAI (AI assistant platform) are software-as-a-service platforms provided on a recurring subscription basis (monthly or annual). Features, availability, and pricing may change at our discretion, with notice for material changes affecting active subscribers.

Services — WyzPro & eLearning Development

WyzPro is the human-led, done-with-you professional services arm of Wyz Global, covering instructional design, digital and education consultations, guided platform launch, and business support. Our eLearning Development Services cover professional course builds (including Articulate Storyline and Rise), custom learning experiences, website and app development for education, eBook conversion and digital publishing, chatbot integration, content migration, email marketing, and digital marketing strategy. Services are provided under a separate statement of work or service agreement specifying scope, deliverables, timelines, and pricing.

4. User Accounts

Some Services require account registration. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us at hello@wyzglobal.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise harm the platform or its users.

5. Payments & Billing

Fees

Access to paid Services requires payment of the fees specified on our pricing pages or in your service agreement. All fees are stated in the applicable currency.

Payment Processing

Payments to Wyz Global are processed securely through Stripe and other third-party payment processors. Wyz Global is the merchant of record for its own products, subscriptions, and services. We do not store full card numbers and are not responsible for errors or failures caused by payment processors.

Subscription Billing

Subscription Platforms (WyzGuild, WyzPages, WyzQuests, WyzAI, and WyzCore Pro) renew automatically at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date. You can cancel anytime from your account settings or by contacting hello@wyzglobal.com; cancellation takes effect at the end of the current billing period.

Taxes

You are responsible for all taxes applicable to your use of our Services, except where we are required to collect them by applicable law.

6. Refunds & Cancellations

Refund eligibility depends on what you purchased. A summary is below; full details are in our Refund Policy.

7. Intellectual Property

Our IP

All intellectual property rights in the Wyz Global platforms, services, brand, content, frameworks, designs, trademarks, and technology are owned by Wyz Global LLC, including the Wyz Global name and all Wyz sub-brand names.

License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for your personal or internal business purposes, subject to these Terms. This license does not include the right to copy, modify, distribute, sell, or create derivative works from our platforms or content.

Trademarks

All trademarks, service marks, and trade names used on our platforms are the property of Wyz Global LLC. Unauthorized use is strictly prohibited.

8. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload, transmit, or distribute harmful, fraudulent, misleading, or illegal content
• Infringe the intellectual property rights of others
• Engage in unauthorized scraping, crawling, or data extraction
• Introduce malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any part of our systems
• Harass, threaten, or abuse other users
• Engage in spam, phishing, or other deceptive practices
• Circumvent any access controls, payment systems, or security measures

We may investigate and take appropriate action against violations, including removal of content and termination of accounts.

9. Your Content

You retain ownership of the content you create or upload ("Your Content"). By submitting content to our platforms, you grant Wyz Global a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content solely for the purpose of operating and improving our Services. You are solely responsible for Your Content and confirm you have the rights to use it. We do not endorse or assume responsibility for user-submitted content.

10. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. Wyz Global disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, Wyz Global LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use our Services. Our total liability for all claims shall not exceed the amount you paid Wyz Global in the twelve (12) months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Wyz Global LLC and its officers, members, employees, agents, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your access to or use of our Services, your violation of these Terms or any third-party rights, or any content you submit.

13. Termination

We may suspend or terminate your access to our Services at any time, with or without cause or notice, if we believe you have violated these Terms. Upon termination, your right to use our Services ceases. Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitation of liability. You may terminate your account anytime by contacting hello@wyzglobal.com.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles. Any dispute shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in New Mexico. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual property rights.

15. Changes to These Terms

We may modify these Terms at any time. We will post the updated Terms with a new effective date. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
